Terms of Service

These terms govern your subscription to and use of Refractions. By subscribing you agree to them. The refund policy is in a separate page so you can read it without scrolling — see refractions.app/refund.
1. Parties
“Refractions”, “we”, “us” refers to Devmo Solutions, support@devmosolutions.com. “You” refers to the person or organization that purchased the license. “The Software” refers to the Refractions desktop application, the daemon it runs as a background service, and the Office add‑in.
2. License grant
Subject to your compliance with these terms and timely payment of the applicable subscription fees, we grant you a worldwide, non‑exclusive, non‑transferable license to install and use the Software for the duration of your active subscription:
- On one Mac per seat. Each seat activates the Software for one person on one Mac at a time; you may move a seat to a different Mac by deactivating the old one.
- For the number of seats on your subscription, which you may increase or decrease at any time from the billing portal.
- For your own use, or for use by the people to whom you (as the Manager) assign seats — such as your employees, students, or research group members.
The subscription renews automatically each year until cancelled. If your subscription is cancelled or lapses for non‑payment, the license ends at the close of the paid period and the Software stops activating.
3. What you may not do
You must not:
- Reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits despite this restriction.
- Resell, sublicense, rent, lease, or otherwise distribute the Software or your license key.
- Use the Software to circumvent the licensing or activation of any third‑party product, including GraphPad Prism.
- Use the Software in violation of any applicable law.
4. License keys and activations
Each seat is tied to a license key. The Software validates the key on first activation and every 24 hours afterward. Each seat allows one active Mac at a time. To move a seat to a new Mac (for example because your old Mac broke), open the Refractions app and deactivate the old machine under “Manage activations”; the person holding the seat does this themselves and the Manager never needs to handle the key. If you get stuck, email support@refractions.app.
We reserve the right to revoke a license key if we determine, with reasonable evidence, that it is being shared beyond the seat count, used in violation of these terms, or obtained through chargeback fraud.
5. Updates
We may release updates to the Software, including security fixes, bug fixes, and new features. Updates are included for as long as your subscription is active, at no additional cost. We are not obligated to release any particular update.
6. Third‑party software
Refractions is not affiliated with, endorsed by, or sponsored by GraphPad Software, Inc. or Microsoft Corporation. GraphPad Prism, PowerPoint, Word, and Excel are trademarks of their respective owners. Your use of those products is governed by their own license terms.
7. Privacy
Our handling of your personal data is described in the privacy policy.
8. Warranty disclaimer
The Software is provided “as is” and “as available”, without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non‑infringement, to the maximum extent permitted by law.
We do not warrant that the Software will be uninterrupted, error‑free, or compatible with every version of GraphPad Prism, macOS, or Microsoft Office. Keep backups of files you edit.
9. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Software or these terms is limited to the amount you paid for your license in the twelve months preceding the claim. We will not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of data, loss of profit, or business interruption, even if we have been advised of the possibility of such damages.
Nothing in these terms limits liability for fraud, death, personal injury, or any other liability that cannot be limited under applicable law.
10. Indemnification
You agree to indemnify and hold us harmless from any claim brought by a third party arising out of your breach of these terms or your unlawful use of the Software.
11. Termination
You may cancel your subscription at any time from the billing portal — cancellation stops future renewals, and your access continues until the end of the current paid period. Refunds are governed by the refund policy. We may terminate your license if you materially breach these terms; we will give you reasonable notice and an opportunity to cure where the breach is curable.
12. Governing law and venue
These terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict‑of‑laws rules. Any dispute will be brought in the competent courts of that jurisdiction, except where applicable consumer‑protection law gives you the right to bring proceedings in your country of residence.
13. Changes to these terms
We may revise these terms from time to time. Material changes will be announced by email to registered customers and on this page. Continued use of the Software after a change constitutes acceptance of the revised terms.
14. Entire agreement
These terms, together with the privacy policy and refund policy, are the entire agreement between you and us regarding the Software, and supersede any prior agreements on the same subject matter.
